Terms of Service

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the services, programs, facilities, communications, and related offerings provided by Maple Grove Learning Centre (“Maple Grove Learning Centre,” “we,” “us,” or “our”). By enrolling in, accessing, booking, or otherwise using our services, or by permitting a child or student to participate in our programs, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply to parents, legal guardians, adult students, and any other person who registers, pays for, or otherwise arranges services on behalf of a student (collectively, “you” or “User”).

Our services are intended for use in Canada and are governed by applicable Canadian federal and Ontario laws, including privacy, consumer protection, education-related, and contract laws, as applicable.

2. Scope of Services

Maple Grove Learning Centre provides educational and academic support services, which may include, without limitation:

  • Early learning programs;
  • Elementary academic instruction;
  • After-school tutoring;
  • Homework support sessions;
  • Reading and writing enrichment;
  • Math skill development; and
  • Student progress assessments.

Services may be delivered in person, online, or in a hybrid format, depending on program availability and operational requirements. We may modify, suspend, or discontinue any service, program, schedule, instructor assignment, or delivery method at any time, subject to applicable law and any written enrollment agreement or program-specific policy.

Unless expressly stated otherwise, our services are educational in nature and do not constitute psychological counseling, medical treatment, diagnosis, therapy, special education services, or legal advice.

3. User Obligations and Responsibilities

By using our services, you agree to the following obligations:

  • Provide accurate, complete, and current registration, contact, billing, medical, and emergency information;
  • Promptly update any changes to student or guardian information;
  • Ensure that the student attends sessions on time and prepared with required materials;
  • Comply with all centre rules, safety procedures, attendance requirements, and staff instructions;
  • Ensure the student behaves respectfully toward staff, instructors, other students, and property;
  • Disclose any relevant learning needs, allergies, medical conditions, behavioural concerns, or accommodations required for safe participation;
  • Obtain and maintain any necessary consent from all persons with legal authority over the student;
  • Not use our services for unlawful, abusive, fraudulent, disruptive, or harmful purposes; and
  • Respect the intellectual property, confidentiality, and privacy rights of Maple Grove Learning Centre and others.

You are responsible for supervising the student before drop-off and after pick-up, unless we have expressly agreed in writing to provide supervision during a specified service period. You must ensure timely pick-up of students. Late pick-up may result in additional fees and/or suspension of services.

We reserve the right to refuse, suspend, or terminate services if a student or User engages in conduct that is unsafe, disruptive, abusive, discriminatory, harassing, or otherwise inconsistent with our policies or the well-being of staff and students.

4. Payment Terms and Conditions

Fees for services, registration, assessments, materials, late pick-up, cancellation, or other charges will be communicated at the time of enrollment or through our published fee schedule, as updated from time to time.

  • Payment is due in accordance with the invoice, enrollment agreement, or program policy provided to you;
  • We may require advance payment, deposits, or recurring billing for certain programs;
  • All fees are stated in Canadian dollars unless otherwise specified;
  • Applicable taxes, including HST where required, may be added to fees;
  • Returned payments, chargebacks, or failed transactions may be subject to administrative fees and service suspension;
  • We may use third-party payment processors, and their terms may also apply to your payment transaction.

If payment is not received when due, we may suspend or terminate services, withhold reports or materials to the extent permitted by law, and pursue collection of outstanding amounts. You are responsible for all reasonable costs of collection, including applicable legal fees, where permitted by law.

5. Cancellation and Refund Policy

Cancellation and refund rights may vary depending on the type of service, program length, and whether services have already commenced. Any program-specific cancellation policy provided to you forms part of these Terms.

  • Notice of cancellation must be provided in writing to our contact information listed below, unless a different method is specified in a program policy;
  • Refunds, if any, may be prorated based on services not yet delivered, less any non-refundable registration fees, assessment fees, materials, or administrative costs, where permitted by law;
  • No refund will generally be provided for missed sessions, late arrivals, student absences, or removal from a program due to misconduct, except where required by law or expressly stated otherwise;
  • We may cancel or reschedule sessions due to low enrollment, safety concerns, staff availability, weather, public health measures, or other operational reasons;
  • If we cancel a paid session or program component and cannot reasonably reschedule it, we will provide a refund or credit for the cancelled portion, subject to applicable law and program policy.

Nothing in these Terms limits any non-waivable consumer rights that may apply under applicable Ontario or Canadian law.

6. Liability Limitations

To the fullest extent permitted by applicable law, Maple Grove Learning Centre, its owners, directors, officers, employees, contractors, instructors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of opportunity, or business interruption, arising out of or relating to the use of our services.

To the fullest extent permitted by law, our total aggregate liability for any claim arising from or relating to the services shall not exceed the amount paid by you for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or such other amount as may be required by applicable law.

We do not guarantee academic outcomes, grades, test scores, admission results, or specific developmental progress. Educational results depend on many factors, including attendance, effort, home support, prior learning, and individual student needs.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, or death or personal injury caused by negligence, where such exclusions are prohibited.

You acknowledge that participation in educational activities may involve ordinary risks, including minor injuries or exposure to illness. You agree to provide accurate health and emergency information and to follow all safety instructions.

7. Intellectual Property Rights

All content, materials, lesson plans, worksheets, assessments, handouts, logos, trademarks, designs, text, graphics, videos, recordings, and other materials provided by Maple Grove Learning Centre are owned by us or our licensors and are protected by applicable intellectual property laws.

  • You may use our materials only for personal, non-commercial educational purposes related to the enrolled student, unless we provide written permission otherwise;
  • You may not copy, reproduce, distribute, publish, modify, translate, sell, sublicense, or create derivative works from our materials without our prior written consent;
  • Any unauthorized use of our intellectual property may result in termination of services and legal action;
  • Any feedback, suggestions, or ideas you provide to us may be used by us without restriction or compensation, unless otherwise agreed in writing.

8. Data Protection and Privacy

We collect, use, disclose, and retain personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, Ontario privacy and education-related requirements.

Personal information may include student name, date of birth, contact details, guardian information, emergency contacts, health or allergy information, attendance records, academic progress information, billing details, and communications with us.

We use personal information for purposes including:

  • Providing and managing educational services;
  • Communicating with parents, guardians, and students;
  • Assessing student progress and tailoring instruction;
  • Processing payments and administering accounts;
  • Meeting legal, regulatory, safety, and record-keeping obligations; and
  • Improving our programs, operations, and service quality.

We may share personal information with service providers acting on our behalf, payment processors, technology providers, or as otherwise required or permitted by law. We do not sell personal information.

We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

9. Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms to the extent such delay or failure is caused by events beyond our reasonable control, including but not limited to acts of God, severe weather, fire, flood, epidemic, pandemic, public health restrictions, labour disputes, power outages, internet or telecommunications failures, government actions, civil unrest, war, terrorism, or supply chain disruptions.

In such circumstances, we may suspend, modify, or reschedule services as reasonably necessary. Where appropriate, we may offer make-up sessions, credits, or refunds in accordance with applicable law and our policies.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect changes in our services, legal requirements, operational practices, or other business needs. The updated Terms will be posted or otherwise communicated to you with a revised effective date.

Your continued use of our services after the effective date of any updated Terms constitutes acceptance of the revised Terms, to the extent permitted by law. If you do not agree to the updated Terms, you must discontinue use of our services and, where applicable, cancel your enrollment in accordance with our cancellation policy.

11. Applicable Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to any applicable consumer protection or mandatory legal rights, you agree that any dispute arising out of or relating to these Terms or our services shall be brought exclusively before the courts located in Ottawa, Ontario, Canada, and you consent to the personal jurisdiction and venue of such courts.

Nothing in this section limits any rights you may have under mandatory applicable law that cannot be waived by agreement.

13. Severability Clause

If any provision of these Terms is found to be invalid, illegal, unenforceable, or contrary to applicable law by a court of competent jurisdiction, that provision shall be severed or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.

The failure of Maple Grove Learning Centre to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing.
